1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the Orderably platform (“Service”), operated by Arias Design Studios (“we,” “us,” or “our”). By accessing or using Orderably, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Orderably provides a zero-commission online ordering platform for food service businesses including restaurants, delis, and bagel shops. Accounts are provisioned directly by Arias Design Studios. The Service enables merchants to accept orders, manage menus, and receive payments from their customers.

3. Account Access and Security

Your account is created and provisioned by Arias Design Studios. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information remains accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms or that show signs of unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable federal, state, or local laws or regulations
• Transmit fraudulent, misleading, or deceptive content
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to other accounts or our systems
• Introduce malware, viruses, or other harmful code
• Conduct activities that would impose an unreasonable load on our infrastructure
• Resell or sublicense the Service without prior written consent

5. Payments and Billing

Subscription fees are billed monthly or annually as agreed during account setup. Payment processing is handled by Stripe. By using the Service, you also agree to Stripe's Terms of Service.

• Fees are charged in advance for each billing period
• We reserve the right to change pricing with 30 days’ notice
• Refunds are issued at our discretion on a case-by-case basis
• You are responsible for all applicable taxes

6. Your Content

You retain ownership of all content you upload to the Service, including menu items, images, and business information (“Your Content”). By submitting Your Content, you grant us a limited, non-exclusive, royalty-free license to store, display, and transmit Your Content solely as necessary to operate the Service. You represent that you have the right to submit Your Content and that it does not violate any third-party rights.

7. Third-Party Services

The Service integrates with third-party services including Stripe (payment processing), Google Analytics (usage analytics), and Google reCAPTCHA (spam protection). Your use of these integrated services is also subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

8. Intellectual Property

The Orderably platform, including its design, software, branding, and content (excluding Your Content), is owned by Arias Design Studios and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIAS DESIGN STUDIOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Arias Design Studios and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may request termination of your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, though provisions that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes via email or a prominent notice within the platform. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
